1. Introduction

Welcome to the Platform operated by Prosper ERP Solutions.

This Platform is a software application accessible via b2bdist.in, which enables independent vendors ("Vendors") to offer their products and services to customers.

By registering or using the Platform, you ("Customer", "you") agree to these Terms.

2. Nature of the Platform (Critical Clause)

The Platform is a technology service provided by Prosper ERP Solutions to Vendors.

Prosper ERP Solutions does not sell products or services and is not a party to any transaction between you and the Vendor.

3. Vendor Relationship

When you place an order:

You are transacting directly with the Vendor.

The Vendor is solely responsible for:

• Product/service quality
• Pricing
• Delivery
• Returns and refunds
• Customer support

4. Payments

All payments (including Cash on Delivery or online payments, if applicable) are made directly to the Vendor.

Prosper ERP Solutions does not collect, process, or handle payments.

5. No Liability for Transactions

Prosper ERP Solutions shall not be responsible for:

• Non-delivery or delayed delivery
• Defective or incorrect products
• Refund or return disputes
• Any loss arising from transactions with Vendors

6. Use of Platform

You agree to:

• Provide accurate information
• Use the Platform lawfully
• Not misuse or attempt to disrupt the Platform

7. Vendor Information

The Platform may display Vendor details such as name and contact information.
Customers are encouraged to contact the Vendor directly for any order-related queries.

8. Data & Privacy

Your data may be shared with the Vendor for order processing and fulfillment.

Prosper ERP Solutions processes data to provide the Platform services.
Refer to the Privacy Policy for more details.

9. Platform Availability

Prosper ERP Solutions provides the Platform on an "as is" basis and does not guarantee uninterrupted or error-free operation.

10. Suspension of Access

Prosper ERP Solutions may suspend or restrict access if:

• You violate these Terms
• Misuse is detected
• Required by law

11. Intellectual Property

The Platform, including all software and systems accessible via b2bdist.in, is owned by Prosper ERP Solutions.

You are granted a limited right to use the Platform for its intended purpose.

12. Governing Law

These Terms shall be governed by the laws of India.
